For CS firms

The secretarial practice, calendar to minutes.

A deadline engine that knows the MCA calendar the way your practice does — AGM-relative dates, event-driven filings, DIR-3 KYC on its new triennial cycle — with packets, registers, portal prefill and the Studio layer for meetings and drafting.

The CS suite

Everything in the suite, grouped the way the work runs.

The MCA deadline engine

  • 15 MCA rules computed per company — annual filings, event-driven filings, and the dates in between
  • AGM-relative and event-driven due dates: the calendar follows the meeting, not a fixed guess
  • DIR-3 KYC on the new triennial cycle under GSR 943(E) — each director’s cycle tracked, no annual scramble
  • Fee and additional-fee computation on every packet — the ₹100/day meter, visible before it runs
  • Document chasing on WhatsApp: the papers each filing needs, requested and followed up automatically

Filing packets & portal prefill

  • Filing packets for AOC-4, MGT-7 / MGT-7A, DIR-3 KYC, ADT-1, MGT-14, DPT-3, DIR-12, PAS-3, CHG-1 and INC-22 — data sheets your team files from
  • PAS-3’s allottee list is generated from the allotment record itself — never assembled from register rows — and any allottee detail still missing is named as a gap, never guessed
  • INC-22’s packet reads the NEW registered-office address from the shift event itself — never from the filing profile, which still shows the old office — on a 15-day deadline (s.12); the police station and the ROC’s name are named as gaps, because no record holds them
  • CHG-1’s packet is built from the charges register itself — holder, itemised terms and property on the register entry — with its fee priced from the company’s authorised share capital; the helper pre-fills the form but never types the creation/modification choice or the portal’s charge-ID lookup, and CHG-4 (satisfaction) is not covered
  • Helper prefill for AOC-4, MGT-7 and MGT-7A: the packet’s figures typed into the portal form for you
  • An identity guard runs before anything is typed — the form’s company must match the packet’s
  • A human always reviews and submits. The helper never files, never signs, never touches a DSC

Statutory registers

  • Registers of directors, members, transfers, charges and events — kept with the client record, not in a separate spreadsheet
  • Director and meeting changes flow into the registers and stamp the next stage of work
  • Every amendment is logged — who changed what, and when
  • A firm-wide DSC register: every director’s DSC and its expiry in one list, with alerts at 30, 15 and 7 days before expiry — an expired DSC never ambushes a filing again

Studio — meetings & drafting

  • The full meeting lifecycle: schedule → notice → meeting → minutes → close
  • Resolutions passed in a meeting spawn the filings they require — nothing falls between the meeting and the filing
  • A drafting library of 50 templates: resolutions, notices and minutes skeletons — now including board resolutions for accepting a loan facility and naming authorised signatories, an interim-dividend resolution, a rights-issue offer, the DIR-8 declaration, an AGM auditor-appointment resolution, an EGM minutes skeleton and shorter-notice consent — deterministic, no AI generation, the professional reviews and signs
  • Studio is an add-on on the Firm plan, for CS and Combo firms — see pricing

Studio

What Studio pays back

Start from the meeting, not the software. A single board meeting today means the same facts typed four times — the notice, the minutes, the registers, the MCA form — plus a filing deadline someone has to remember to create. Studio runs the meeting as one record, and the value shows up where the work used to go:

  • Hours back, every meeting. — Notice and minutes generate from the meeting record, registers update from the same data, and the MCA form is pre-filled instead of re-typed. A practice running around 100 meetings a year typically saves an hour or more on every meeting cycle.
  • Errors that never happen. — No re-typing means no transposed DINs and no wrong CINs carried from document to document. A fact a draft needs but doesn’t have is flagged as missing — never silently replaced with a plausible wrong value.
  • Deadlines that can’t be dropped. — Closing a meeting creates its filing tasks automatically. The MGT-14 clock starts itself; nothing waits on someone remembering.
  • Penalty exposure down. — Fewer missed clocks means fewer ₹100-a-day additional fees accumulating across the client book.
  • The whole book, visible. — Every company’s meetings, minutes and filing state in one view — the partner sees what is pending without asking staff for status.

Studio is ₹4,999 a month, with the Firm plan included. At even one hour saved per meeting, a 20-company practice recovers roughly twice that in staff time alone — before counting a single avoided penalty.

And if all your practice needs is a template library, buy one — they cost less, and they are good at what they do. Studio is for firms where the work around the meetings — the tracking, the registers, the re-typing, the remembering — is what is actually costing money.

Metiq, for this practice

Answers that cite the circular itself.

Metiq, the research assistant

  • MCA questions answered citing the circulars themselves — the DIR-3 KYC triennial notification (GSR 943(E)), the CCFS-2026 scheme circular (GC 01/2026)
  • Date-aware: the rule in force on the date you ask about, with the citation to match
  • If the corpus does not cover it, Metiq says so — no source, no answer

Metiq, the client status concierge

  • Directors and company staff ask about filing status on WhatsApp and get factual answers from live records
  • Status-only and deterministic — no AI guessing in between
  • Works only from the one WhatsApp number registered for that client; advice questions are routed to your team

How it fits your month

From the AGM calendar to the filed form.

1

The engine watches every company

Across 15 MCA rules, every company’s dates are computed — AGM-relative, event-driven, DIR-3 KYC cycles — with fees visible before they start running.

2

Meetings run in Studio

Schedule, notice, meeting, minutes, close. The resolutions passed become filings on the calendar automatically — the meeting and the filing are never two separate follow-ups.

3

Packets and prefill do the typing

Registers are current, the packet is ready, and for AOC-4, MGT-7 and MGT-7A the helper types the figures into the portal form. Your team reviews and files.

4

Clients stay in the loop

Documents are chased on WhatsApp and status questions are answered there too — the phone calls your office used to field simply stop.

New here?

Your first filing

Take one company’s AOC-4 or MGT-7 through, end to end — the same six named steps Metiq walks with you when you ask “how do I file AOC-4”.

1

AGM recorded

Close the AGM’s minutes in Studio and the due dates re-base to the real AGM date — AOC-4 in 30 days, MGT-7 / MGT-7A in 60. Metiq chases the client for the papers on WhatsApp.

2

Packet built

One press builds the checked data sheet from the registers and financial statements — attachments marked ready or manual, every missing fact named as a gap.

3

Form pre-filled

The helper types the packet’s figures into the MCA form in your own browser, after checking the form’s CIN against the packet’s company.

4

You submit

You review, DSC-sign and submit on the portal — filing stays yours, by design. The SRN is then recorded and the deadline closes itself.

MCA circulars and company-secretarial practice, explained from the primary sources.

CS — Company Secretarial

CCFS-2026 explained: clear pending annual filings at 10% of the additional fee, 15 April – 15 July 2026

MCA General Circular 01/2026 opens the Companies Compliance Facilitation Scheme, 2026: from 15 April to 15 July 2026, companies can complete pending annual filings paying only 10% of the additional fees, go dormant at half the normal MSC-1 fee, or strike off at 25% of the STK-2 fee — with defined exclusions and section 454 immunity points.

DIR-3 KYC deadlines in practice: last October’s fee-free extension, and what the triennial cycle means now

In October 2025 the MCA extended fee-free DIR-3 KYC filing to 31 October 2025 (General Circular 05/2025) — a window that has closed. This post puts that extension in its place in the timeline and explains what replaces the annual scramble: the triennial DIR-3-KYC-Web cycle under GSR 943(E), plus a 30-day duty to report detail changes.

FAQ

Questions CS firms ask us first.

What can we ask Metiq?

Deadlines and workload, one company’s filing status and history, the documents you are chasing, whose DSC expires soon, penalties and due dates, MCA extension impact on your clients, plus how-to guides and cited MCA circulars — in English or Hinglish. The full list, section by section, is on the Asking Metiq page.

Does the helper submit MCA forms for us?

No — never. For AOC-4, MGT-7 and MGT-7A the helper types the filing packet’s figures into the portal form, after an identity guard confirms the form’s company matches the packet. Your team reviews every field and submits. It never clicks submit and never touches a DSC.

How do DSC expiry alerts work?

Record each director’s DSC expiry on their directors-register entry. The DSC register page (CS and Combo suites) lists every director’s DSC across all clients, soonest expiry first, and Metiq alerts the firm at 30, 15 and 7 days before expiry and once when a DSC has expired — in the firm inbox and through Metiq. The dates are firm-asserted: you record them from the certificate, and Metiq never reads the certificate or the token itself. Renew the DSC, update the expiry on the register, and the alert clears and re-arms for the new date.

How does DIR-3 KYC work under the new rules?

GSR 943(E) made DIR-3 KYC triennial: DIR-3-KYC-Web is filed by 30 June of every third consecutive financial year, and a director’s change of mobile, email or address is still reported within 30 days. The deadline engine tracks each director’s cycle and raises the packet when their year arrives — there is no annual whole-book exercise anymore.

Is Secretarial Studio included in the CS suite?

The suite itself includes the deadline engine, filing packets, prefill and statutory registers. Studio — the meeting lifecycle and the 50-template drafting library — is an add-on on the Firm plan for CS and Combo firms; the pricing page carries its price.

How do board papers reach directors, and how is receipt proved?

From the meeting’s page in Studio, one press circulates the notice and board pack on WhatsApp — each director gets a personal, private link to exactly the papers pinned at send time. Opening the link records the view; the director taps “I acknowledge receipt” on the page (or simply replies on WhatsApp) to acknowledge, and the meeting page tracks every director’s state with the true dispatch, view and acknowledgement times. Because notice legally runs from dispatch, the meeting page shows the dispatch date alongside the generation date, and a printable SS-1 proof — papers pinned, timestamps, channel — is ready for the meeting file. A director with no WhatsApp number on the register is named on the panel, never silently skipped.

Can Metiq answer questions about a new MCA circular?

Yes — from the corpus, with the citation attached: the DIR-3 KYC triennial notification, the CCFS-2026 scheme circular, and the rest of the MCA material the corpus holds. If a circular is not in the corpus, Metiq says so plainly instead of summarising from memory.

What do our clients see?

WhatsApp, and nothing to install. Documents for a filing or a meeting are requested and chased there, and directors can ask the status concierge about their company’s filings — status-only answers from live records, only from the number registered for that client.

We also handle GST for some clients. Do we need two subscriptions?

No. The Combo suite runs both practices on one platform and one calendar — CA and CS inventories together, one client book. See pricing for how the suites compare.
